Process
- DC Advisory was appointed by the promoter of Pathways School Gurgaon as exclusive financial advisor to advise on strategic partnership options
- DC Advisory ran a highly targeted partner selection process, with discussion materials distributed to a select set of global and Indian strategics
- DC Advisory worked closely with the promoter to position the school’s premium brand, #1 rankings, and consistent financial performance, securing competitive interest and a premium valuation
- DC Advisory provided end-to-end support across all workstreams, including marketing materials, partner interactions, due diligence, documentation negotiation and closing
Outcome
- The transaction was completed in October 2026, with Pathways School Gurgaon acquired by Lighthouse Learning group. Lighthouse Learning is rebranding the school as PSG Clifton International School in partnership with the UK’s 164-year-old Clifton College, its first partnership outside the UK
- The transaction marks one of the largest transactions in the K-12 space in India
- The transaction is DC Advisory India’s 4th closed deal in the K-12 space since 2020, further illustrating its expertise in the area
- It further strengthens DC Advisory India as one of the most active investment banks for founder-driven, sell-side transactions in India’s K-12 space
