• Headquartered in Germany, Springer Nature’s Professional Transport Unit (PTU) is a leading player in educational content and technology for driving education across Europe, in particular DACH, France and Spain, and employs c. 400 people​​
• PTU's product and service offering includes administration and learning software, teaching solutions, driving simulators as well as content for driving schools and professionals in the transport industry​
• Unigestion is an independent, specialist  management company providing clients with solutions in private equity, equities and wealth management

Process

• DC Advisory was engaged by Springer Nature as exclusive sell-side advisor to identify the right partner to support PTU’s ambition in further expanding their offering and reach as well as to secure the market-leading position in Europe​
• Against tightening financing conditions and the backdrop of the macro environment, DC Advisory's team successfully provided sell-side support including project management, coordination of diligence workstreams, financial analysis, marketing materials and advice on all strategic aspects of the transaction​
• DC Advisory worked closely with the shareholder and management team to orchestrate a tailored sell-side process 

Outcome

• Early 2023, Unigestion agreed to acquire Springer Nature’s Professional Transport Unit and the transaction closed in June 2023​
• Following the successful closing of the transaction, the business activities have all been bundled in the newly created TecVia Group​
• Unigestion will support TecVia as financial and strategic partner in its international growth ambitions both organically and through potential complimentary acquisitions​
