DC Advisory advised Dzeta Conseil on the sale of Technology & Strategy to Ardian

Outcome

• Technology & Strategy (“T&S”) is a leading consulting firm specialized in engineering, IT, digital and project management with a recognized expertise in embedded systems
• Headquartered in Strasbourg (East of France) with a distinctive French-German DNA, the Group employs over 1,200 people and operates in fast growing niche markets in the automotive, healthcare, finance and luxury sectors. T&S relies on a network of 16 offices spread across 6 countries in Europe and South-East Asia
• Since its inception in 2008, T&S has experienced tremendous growth, both organically (46% CAGR since 2008) and through acquisitions (4 build-ups since 2014)

Process

• In April 2018, DC Advisory was retained as exclusive M&A advisor to Dzeta Conseil and the management team for the considered disposal of T&S
• Following a competitive auction process with a limited number of private equity funds, the shareholders have granted exclusivity to Ardian
• With this transaction, Ardian takes a significant stake in T&S, alongside the management team who becomes the majority shareholder and Dzeta Conseil which reinvests as well
• The new partnership provides T&S with significant support to strengthen its market positions, develop complementary activities and expand into new geographies, notably via external growth
• This transaction confirms DC Advisory’s expertise in the TMT sector
