• Japan Exchange Group, Inc. (JPX) is a financial exchange group in the Asia-Pacific region, and is one of the largest globally

• JPX operates in financial instruments exchange markets to provide market users with reliable venues for trading listed securities and derivatives instruments

• JPX was established via the business combination between Tokyo Stock Exchange Group and Osaka Securities Exchange

• Headquartered in Washington (US), SCRIPTS Asia provides Asia-Pacific investor event coverage for the global institutional investment community

• SCRIPTS Asia has grown as a unique data source provider by creating transcripts of investor relations events for listed Japanese companies

Process

• DC Advisory (DC) acted as exclusive financial advisor to JPX, providing buy-side advice to the management team

Outcome

• On 29 November, 2022, JPX announced its acquisition of all of SCRIPTS Asia’s issued shares, through its 100% subsidiary JPX Market Innovation & Research

• Through this transaction, JPX will look to improve the reach and visibility of the Japanese stock market by promoting constructive dialogue between listed companies and investors

• This transaction is expected to close in February 2023, subject to customary closing conditions and regulatory approval
