DC Advisory advised Southern Dental on its sale to Jacobs Holding AG

Southern Dental is a leading mixed-model NHS and private dental services provider in the UK.

DC Advisory was engaged by Southern Dental in December 2016 to advise on strategic options, which were to include a partial or full exit by the founding shareholders.

Following a strategic review, DC ran a narrow auction process with marketing materials, management presentations and vendor due diligence reports distributed to a carefully selected group of well-educated buyers ahead of first round bids.

The shareholders of Southern Dental entered into exclusive negotiations with Jacobs shortly after a highly competitive second round proces.

After a short period of exclusivity the transaction completed on 21 April 2017. The shareholders made a full exit from Southern Dental.

Southern Dental is a great addition to the Jacobs portfolio, appealing to Jacobs’ longstanding principles of investing in non-cyclical, cash-generative businesses that have the potential to become global market leaders.
