• Established in the 1990s and headquartered in Rome, Idea Real Estate S.p.A (IdeaRe) provides integrated solutions for real estate asset management including property, facility and energy management, and other related services
• IdeaRe has an established customer base with a variety of high quality businesses, including leading religious institutions, asset management companies, public administration, retail, and financial institutes
• Rina Prime Value Services S.p.A (Rina Prime Value Services) is a real estate services provider with a core focus on valuation, technical property certification, technological innovation and sustainability 

Process

• DC Advisory (DC) was engaged by the shareholders of IdeaRe to act as financial advisor on the sale of a majority stake to Rina Prime Value Services 
• DC provided comprehensive advice to IdeaRe throughout the sale process, including:
  • process strategy and tactics;
  • due diligence coordination;
  • deal structuring; and 
  • support in negotiations and transaction documentation

Outcome

• Following a detailed due diligence process, the sale and purchase agreement was signed on 25 November 2021
• The transaction closed on 9 December 2021
• The transaction is subject to customary closing conditions
