DC Advisory advises GPD Companies, Inc. on the sale of its subsidiary, Distrupol, to Omya

Background

• Headquartered in England, Distrupol is engaged in the distribution of a range of thermoplastic polymers and elastomers to the polymer-producing industry, serving consumer, medical, automotive, and electrical sectors, among others across Europe
• Distrupol has provided value-added sales and application development services for thermoplastic resins for over 60 years and has recently pursued an active expansion strategy with the acquisitions of Baritec AB and Lautrup Chemical in the Nordic region and expansion of operations into Germany, France, Spain and Italy, adding to its facilities in the UK, Ireland, the Nordics, Benelux, and Egypt
• Distrupol is a subsidiary of GPD Companies, Inc. (GPD), a global holding company for value-added plastics distribution entities. GPD is based in The Woodlands, TX and its operational entities include Nexeo Plastics and Distrupol

Process

• GPD engaged DC Advisory in H2 2024 as exclusive financial advisor to deliver comprehensive sell-side advisory services in relation to the potential sale of Distrupol
• DC Advisory assisted GPD on all aspects of the sale from due diligence management through final negotiations and signing with the eventual acquirer, Omya – a global producer of essential minerals and worldwide distributor of specialty materials headquartered in Switzerland

Outcome

• Following a period of due diligence in H2 2024, Omya announced its acquisition of Distrupol in December 2024
• The sale is subject to regulatory approvals and is anticipated to close in the first calendar quarter of 2025
• The acquisition will extend Omya’s geographic and product reach within their global plastics distribution business
• The transaction further demonstrates DC Advisory’s expertise and capabilities within the Chemicals & Advanced Materials sector as well as its capabilities in advising on cross-border, multi-jurisdictional transactions
