DC Advisory advises IK Partners on the acquisition of a majority stake in IG&H

Background

• IG&H is a specialist in digital transformation and proprietary digital solutions, addressing specific industry needs with over 30 years of deep sector expertise
• Founded in 1988, the company is headquartered in Utrecht, the Netherlands, with offices in Germany and Portugal, servicing both the Dutch and DACH markets
• IG&H has a unique end-to-end service offering supported by deep technical expertise, and is focussed on five industry verticals: pensions, retail, banking, healthcare, and insurance - each with strong underlying digital transformation dynamics
• IG&H has significant relationships with leading (low code) technology partners driving intelligent solutions and innovative digital transformation
• IK Partners (IK) is a pan-European private equity firm focused on investments in the Benelux, DACH, France, the Nordics and the UK. The firm has raised more than €14 billion of capital, investing in over 160 European companies since 1989

Process

• The private owners of IG&H initiated a process to attract a new cornerstone shareholder, in order to accelerate its international growth and further institutionalize the organisation
• The strong underlying market fundamentals, high organic growth and high margin profile of IG&H - combined with evident internationalisation potential and M&A optionality - generated significant interest from the financial sponsors community
• Following a staged bidding process, exclusivity was granted to IK Partners, advised by DC Advisory, in early July 2022
• Under the terms of the transaction, IK Partners will obtain a majority stake in IG&H with the balance held by company management and employees

Outcome

• Completion of the transaction is subject to anti-trust clearance and is expected in Q3
• This deal represents the first for DC Advisory’s Benelux office since opening in January 2022
