DC Advisory advises Top Part on the sale of its majority stake to Parts Holding Europe

Background

  • Established in 1978, Top Part has grown into a leading Irish-owned motor parts distributor in Ireland, serving over 2,000 independent garage customers as well as retail consumers 

  • Top Part also owns Synergy VRSI, a specialist wholesale supplier of vehicle refinishing and coatings serving the Irish accident repair industry

  • Headquartered in Tralee Co. Kerry, Top Part operates 21 stores nationwide and employs over 300 people

  • Parts Holding Europe (PHE) is a leader in the independent distribution of spare parts for light and heavy vehicles in Western Europe, operating in France, Belgium, the Netherlands, Luxembourg, Italy and Spain. PHE is supported by its shareholder, D’Ieteren Group, a family-owned investment company

Process

  • DC Advisory was engaged by Top Part as exclusive financial advisor on the sale of a majority stake in the company to PHE
  • DC Advisory leveraged its experience in the Industrials sector to support Top Part in negotiating key terms and assisted with overall process management

Outcome

  • PHE acquired a majority stake in Top Part in May 2025
  • Financial terms of the transaction were not disclosed
  • The acquisition will support Top Part’s continued customer-led growth and enable PHE’s expansion into the Irish market, strengthening its position as a leading European distributor of auto parts
  • This transaction further illustrates DC Advisory’s expertise in the Industrials sector
