DC Advisory advised Continental Bakeries on the acquisition of Delicpol

Background:

• Delicpol is the leading private label producer of biscuits in Poland and CEE with the dominant market share of jaffa cakes in Poland, its core product
• The Company has a history of technical leadership and product innovation enabling the Company to deliver also on-trend products such as healthy claims biscuits and gingerbread
• In addition to the local market leadership, Delicpol exports its products to ca. 50 countries worldwide with a focus on CEE and Western Europe and enjoys long-term relationships with pan-European retail customers
• The Company operates three modern facilities in Poland and has over 900 employees

Process:

• In February 2017 DC Advisory (DC) was fully engaged by Continental Bakeries, the premier European private label bakery group, a portfolio company of Goldman Sachs Merchant Banking Division and The Silverfern Group, to provide a full-scope M&A advisory in relation to the acquisition of Delicpol
• DC led the process and leveraged local relationships to guide Continental Bakeries through a competitive auction process
• DC was fully engaged in negotiations and provided full support until signing

Outcome:

• On 31 July 2017, Continental Bakeries announced the acquisition of Delicpol for an undisclosed consideration. Transaction closing is subject to customary anti-trust approval
• With Delicpol, Continental Bakeries expands its product portfolio by adding jaffa cakes and its presence in high growth CEE markets
