Background

• Polenergia is a leading Polish energy group, active in electricity generation, distribution, and renewable energy development across onshore wind, offshore wind, and photovoltaic projects
• Elektrociepłownia Nowa Sarzyna (ENS) is a combined-cycle gas turbine (CCGT) power plant located in southeastern Poland, supplying electricity and heat to industrial and municipal customers with long-term capacity-market participation secured offtake
• The ENS asset base includes a well-maintained 116 MWe/70 MWt CCGT, five HOBs (59 MWt total), and 1 MW PV delivering flexible, low-carbon generation
• Axpo is a Swiss-based international energy company focused on power generation, energy trading, and long-term energy supply services across Europe

• The closing of this transaction is subject to antitrust approval
